Corporate governance is an umbrella term for the entire system of managing and supervising a company, including its organisation, commercial principles, and internal and external control mechanisms.

The German Corporate Governance Code is intended to make national legislation concerning the management and supervision of companies more transparent for national and international investors in order to increase confidence in the governance of German businesses. The code addresses all significant areas of criticism (especially international criticism) of German corporate governance, specifically:

  • an inadequate focus on shareholder interests;
  • the two-tiered internal structure of a management board and a supervisory board;
  • a lack of transparency in German corporate governance;
  • a lack of independence in German supervisory boards;
  • a limited independence of auditors.

Here you can find the current declaration by the management board and the supervisory board regarding the recommendations of the governmental commission on the German Corporate Governance Code as per § 161 of the German Companies Act (AktG).
